By accessing or using the websites www.medivapharma.co.uk and oxygenrx.co.uk (collectively, "our websites"), or any services provided by MedivaPharma Limited ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you must not use our websites or services. These Terms apply to all visitors, registered users, healthcare professionals, and any other individuals who access or use our services.

Where our services are accessed by a business or organisation, the individual accepting these Terms warrants that they have authority to bind that organisation to these Terms.

These Terms should be read alongside our Privacy Policy and Cookie Policy, both of which are incorporated by reference.

The service

MedivaPharma Limited is a registered pharmacy and healthcare company that operates under the name OxygenRX. We provide a digital platform and associated services that support private prescribing workflows for healthcare professionals, including:

  • Prescription management and dispensing services;
  • Access to prescription and pharmacy software tools;
  • Supply of licensed pharmaceutical products to registered healthcare professionals;
  • Clinical resources and educational materials; and
  • Account management and customer support.

Our services are intended for use by registered and qualified healthcare professionals in the United Kingdom. Use of our pharmacy services constitutes a regulated activity governed by the General Pharmaceutical Council (GPhC) and other applicable regulatory bodies.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice, except where immediate action is required for legal, regulatory, or safety reasons.

Accounts

Certain features of our service require you to register for an account. When creating an account, you must:

  • Provide accurate, current, and complete information as prompted by the registration process;
  • Maintain the security of your password and restrict access to your account;
  • Notify us immediately at info@oxygenrx.co.uk if you suspect any unauthorised use of your account; and
  • Accept responsibility for all activities that occur under your account.

Professional verification

For accounts used to access pharmacy or prescribing services, we are required to verify your registration with the appropriate regulatory body (such as the GMC, GDC, NMC, or GPhC). By creating such an account, you consent to us carrying out these verification checks.

We reserve the right to suspend or terminate accounts where verification fails, where information provided is found to be inaccurate, or where there is evidence of misuse.

Account security

You are responsible for maintaining the confidentiality of your login credentials. We will never ask for your password by email or telephone. If you believe your account has been compromised, contact us immediately.

Acceptable use

You agree to use our websites and services only for lawful purposes and in accordance with these Terms. You must not:

  • Use our services in any way that is unlawful, fraudulent, or harmful, or in connection with any unlawful, fraudulent, or harmful purpose or activity;
  • Attempt to gain unauthorised access to any part of our systems or networks;
  • Use our services to transmit unsolicited commercial communications;
  • Reproduce, duplicate, copy, or resell any part of our service without our express written consent;
  • Use automated tools to scrape, extract, or harvest data from our websites;
  • Impersonate any person or entity, or falsely claim an affiliation with any person, organisation, or regulatory body;
  • Upload or transmit any material that is unlawful, defamatory, offensive, or infringes the rights of any third party; or
  • Use our services in a manner that could damage, disable, overburden, or impair our infrastructure.

We reserve the right to investigate potential violations and to take appropriate action, including suspending access or referring matters to law enforcement authorities, where we consider it necessary.

Clinical responsibility

OxygenRX and MedivaPharma provide a platform and dispensing service to support healthcare professionals in their clinical practice. We do not provide medical advice, diagnosis, or treatment recommendations to patients.

Disclaimer: The clinical responsibility for prescribing decisions rests solely with the prescribing healthcare professional. Our platform facilitates the submission, management, and dispensing of prescriptions written by registered prescribers, but does not validate, endorse, or override clinical judgement.

Healthcare professionals using our services acknowledge that:

  • They are responsible for ensuring that any prescriptions submitted comply with applicable clinical guidelines, regulatory requirements, and their professional obligations;
  • They hold the appropriate professional registration and indemnity insurance required for their scope of practice;
  • They will not use our platform to circumvent any regulatory or ethical requirement applicable to their profession; and
  • They remain accountable to their relevant regulatory body for all clinical decisions made in connection with use of our services.

Any information provided on our websites (including product descriptions, clinical guidance, or educational materials) is intended as general information only and does not constitute professional medical or pharmaceutical advice. You should not act on such information without seeking independent professional guidance appropriate to your circumstances.

Fees and payment

Certain services and products available through our platform are subject to fees. Current pricing is displayed within the platform and may be updated from time to time. We will provide reasonable notice of any significant price changes.

Payment terms

All prices are stated in pounds sterling (GBP) and, unless otherwise stated, are inclusive of VAT where applicable.

Intellectual property

All content, software, trademarks, trade names, logos, and other intellectual property on our websites and within our services ("our intellectual property") are owned by or licensed to MedivaPharma Limited, unless otherwise indicated.

We grant you a limited, non-exclusive, non-transferable licence to access and use our services for the purposes described in these Terms. This licence does not include the right to:

  • Reproduce, modify, distribute, or create derivative works from our intellectual property;
  • Use our intellectual property for commercial purposes without our prior written consent; or
  • Remove or alter any copyright, trademark, or other proprietary notices.

Your content

Where you submit content to our platform (such as prescriptions, forms, or communications), you retain ownership of that content. By submitting it, you grant us a limited licence to process and use it solely for the purpose of providing the relevant service to you.

You warrant that any content you submit does not infringe the rights of any third party and complies with all applicable laws and regulations.

Limitation of liability

To the extent permitted by law, MedivaPharma Limited excludes all liability for:

  • Any indirect, consequential, special, or incidental loss or damage arising from your use of our websites or services;
  • Loss of profit, revenue, data, business, or goodwill;
  • Interruptions to or unavailability of the service;
  • Errors, inaccuracies, or omissions in any information on our websites; or
  • The acts or omissions of third parties, including third-party service providers or platforms linked to from our websites.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

Where our liability cannot be excluded, it is limited to the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) £100.

If you are a consumer, these Terms do not affect any statutory rights you may have under applicable consumer protection legislation.

Termination

Either party may terminate these Terms and any associated service agreement at any time by providing written notice to the other party, subject to any specific cancellation terms applicable to the service in question.

We may suspend or terminate your access to our services immediately and without notice if we reasonably believe that you have:

  • Breached any provision of these Terms;
  • Engaged in conduct that is unlawful, fraudulent, or harmful to us, other users, or third parties;
  • Failed to maintain the professional registration required to use our services; or
  • Acted in a manner that exposes us to legal or regulatory risk.

On termination, any licences granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination (including intellectual property rights, limitation of liability, and governing law) will continue to apply.

We will retain your data following termination only as required by law, regulation, or our legitimate interests. Please refer to our Privacy Policy for full details.

Governing law

These Terms of Service and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

Both parties agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

Regulatory bodies

MedivaPharma Limited is registered with and regulated by:

  • The General Pharmaceutical Council (GPhC) as a registered pharmacy;
  • The Medicines and Healthcare products Regulatory Agency (MHRA); and
  • The Information Commissioner's Office (ICO) as a data controller.

Nothing in these Terms affects any rights or obligations arising under applicable UK pharmacy, healthcare, or data protection law.

Changes to these terms

We reserve the right to update or modify these Terms at any time. Where we make material changes, we will notify you by email (where we hold your contact details) or by displaying a prominent notice on our websites at least 30 days before the changes take effect.

Your continued use of our services after any changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you should stop using our services.

The date at the top of this page indicates when these Terms were last updated. We recommend reviewing this page periodically to stay informed of any changes.
